We provide AI transformation, consulting, strategy, implementation, and automation services as agreed in a separate scope of work or proposal for each client. The specific deliverables, timeline, and cost for any engagement are set out in that individual agreement, not in these general terms.
Client Responsibilities
You agree to provide timely access to the systems, data, and team members needed to deliver the agreed services. Delays in providing access or information may affect project timelines, and we're not responsible for delays caused by information or access we didn't receive on schedule.
Payment Terms
Payment terms, including any setup fees, milestone payments, and recurring charges, are set out in your individual proposal or agreement. Late payments may result in a pause of active work until the account is brought current.
Intellectual Property
Deliverables built specifically for you become your property on full payment. We retain rights to our own internal tools, frameworks, methods, and any general-purpose code or components used across multiple client projects.
Confidentiality
Both parties agree to keep confidential business information private and use it only for the purposes of the engagement. This includes business data, strategy discussions, and any proprietary information shared during the project.
Limitation of Liability
Our liability is limited to the fees paid for the specific service in question, except where liability cannot be limited by law. We're not liable for indirect, incidental, or consequential damages arising from the use of our services.
Indemnification
You agree to indemnify us against claims arising from your misuse of any deliverable, breach of these terms, or violation of applicable law, to the extent permitted by law.
Force Majeure
Neither party is liable for delays or failures caused by events outside reasonable control, including natural disasters, internet or infrastructure outages, or other circumstances that couldn't reasonably be planned for.
Termination
Either party may terminate an ongoing engagement with written notice, as specified in the individual agreement. Work completed up to the termination date remains payable according to the agreed terms.
Warranties and Disclaimers
We provide our services with reasonable skill and care, but we don't guarantee specific business outcomes, since results depend on factors outside our control, including your team's adoption and existing data quality.
Governing Law
These terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of the courts in Jaipur, Rajasthan, unless otherwise agreed in writing.
Changes to These Terms
We may update these terms from time to time. Continued use of our services after changes are posted means you accept the updated terms.
Assignment
You may not assign or transfer your rights under these terms without our written consent. We may assign these terms as part of a business transfer, merger, or reorganization.
Non-Solicitation
During an engagement and for a reasonable period afterward, both parties agree not to directly solicit each other's employees for hire, except through a general public job posting.
Entire Agreement
These terms, together with any individual proposal or scope of work, represent the entire agreement between the parties and supersede any prior discussions on the same subject.
Severability
If any part of these terms is found unenforceable, the remaining terms continue to apply in full, and the unenforceable part is replaced with a valid provision that reflects the original intent as closely as possible.
